Terms of service

1. Who these terms are with

These terms govern your use of guwit.com and any work we carry out for you. They are an agreement between you and Guwit Technology Solutions Ltd, a private company registered in Nigeria under company registration number RC 9040112.

2. Using this website

You may read, print and share pages of this site for your own purposes. The text, design, code, logo and images are our property or licensed to us, and may not be copied for commercial use without our written permission.

3. Engaging us for work

Nothing on this site is an offer to contract. Work begins only when we have issued a written scope and quotation and you have accepted it. That document, together with these terms, forms the agreement between us; where the two conflict, the signed scope takes precedence.

4. Scope, quotations and changes

Quotations are fixed for the scope described and are valid for 30 days. Anything not written in the scope is not included. If you want to add to it, we will quote the addition separately before doing the work.

5. Payment

Unless the scope says otherwise, we invoice a deposit before starting and the balance on delivery. Invoices are payable within 14 days. We may pause work on an overdue account.

6. Your responsibilities

Delays caused by outstanding approvals or content move the delivery date accordingly.

7. Ownership

On full payment, ownership of the work made specifically for you passes to you. We keep ownership of our own pre-existing tools, libraries and general know-how, and grant you a licence to use them within the delivered work. Third-party components remain under their own licences.

Unless you ask us not to, we may name you as a client and show the work in our portfolio.

8. Hosting, domains and third-party services

Where we arrange hosting, a domain or a third-party service on your behalf, that service is governed by its own provider's terms and its fees are recharged to you. We are not responsible for a provider's outages, price changes or policy decisions, including app store review outcomes.

9. Support and warranty

We correct defects in our own work reported within 30 days of delivery at no charge. That warranty does not cover changes made by others, new requirements, or failures in third-party services. Continuing support is available under a separate maintenance agreement.

10. Translation work

Translations are produced by native speakers and reviewed before delivery. Where a source text is ambiguous or highly technical, we will raise it with you rather than guess. For languages with no single standardised orthography, we agree conventions with you at the start and apply them consistently.

11. Confidentiality

We keep your business information confidential and use it only to do the work, and we expect the same of you regarding our methods and quotations.

12. Limits of liability

We deliver our work with reasonable skill and care. We are not liable for indirect or consequential loss, including lost profits or lost data, and our total liability for any engagement is limited to the fees you paid us for it. Nothing here limits liability that cannot be limited under Nigerian law.

13. Ending an engagement

Either side may end an engagement in writing. You pay for work completed and for commitments we have already made on your behalf, and we hand over everything paid for.

14. Governing law

These terms are governed by the laws of the Federal Republic of Nigeria, and the Nigerian courts have jurisdiction over any dispute.
